Read this before using the Service.
The Service provides you with a licensed algorithmic trading strategy that runs inside your own copy of NinjaTrader on your own brokerage account. The strategy places futures trades in your account according to its programmed logic. Trading futures involves substantial risk of loss and is not suitable for everyone.This document describes those risks in detail. It is not exhaustive — it is intended to give you a realistic picture of what can go wrong.
By using the Service, you confirm that you have read this document, that you understand the risks, and that you accept them.
01You can lose money. You can lose all of it.
The Service uses leveraged instruments. Even small adverse price movements can result in large losses relative to the capital allocated to the strategy. Losses are not limited to the amount you initially intended to risk. A single trade can produce losses exceeding the configured per-trade risk if:
- Markets gap through your stop-loss order (overnight events, news, halts);
- A technical failure prevents the strategy from placing or modifying orders;
- Slippage during fast-moving markets results in fills far from intended prices;
- Multiple positions become correlated in an unexpected way during a market dislocation.
You should only trade with capital you can afford to lose. Do not use credit, retirement savings you depend on, or capital you need for living expenses.
02Past performance is not indicative of future results.
Any performance data you see — in marketing materials, on your dashboard, in personal communications with us, or anywhere else — describes past behavior of the strategy under past market conditions. It does not predict future results.
The strategy is based on patterns that have worked historically. Markets evolve. A strategy that worked in the past may stop working in the future, and may do so without obvious warning.
Hypothetical or simulated performance, including paper trading results, has additional limitations. Paper trading does not involve real capital, real fills, or real psychological pressure. Slippage, partial fills, and execution failures occur in live trading that do not occur in simulation. The relationship between paper trading results and live results is imperfect and may be significant.
03How the Service works — and what that means for risk
AlphabotAlgo is a software licensing service. You download and install the AlphabotAlgo strategy in your own copy of NinjaTrader. The strategy runs on your machine, connects to your brokerage account, and places trades on your behalf according to its programmed logic.
This means:
- AlphabotAlgo LLC does not execute trades on your behalf. Your copy of NinjaTrader does. You are responsible for your trading platform being running and connected during market hours.
- AlphabotAlgo LLC does not hold or have access to your brokerage credentials. Your login stays between you and your broker.
- AlphabotAlgo LLC does not custody your funds. All money stays in your own brokerage account at all times.
- You remain in control. You can disable the strategy, close positions, or disconnect your broker at any time directly within NinjaTrader or through your brokerage platform.
04Algorithmic trading has specific risks.
The Service is an automated system. It executes trades based on programmed logic without human discretion in the moment. Specific algorithmic risks include:
- Software bugs. Code contains errors. Despite testing, undiscovered bugs may cause the strategy to place unintended orders, fail to place intended orders, or place orders with incorrect parameters.
- Logic errors. The strategy's design may have flaws that only become apparent under market conditions not present during development.
- Edge cases. Real markets produce conditions — gaps, halts, circuit breakers, contract rollovers, exchange holidays — that may not be handled correctly by the strategy.
- State drift. The strategy's internal record of positions may temporarily diverge from your broker's record. The strategy has reconciliation logic to detect this but cannot guarantee zero drift.
- Latency. Network latency between your machine, the exchange, and your broker may cause orders to arrive late, miss intended price levels, or fail to execute as intended.
05Technology risk.
The Service depends on multiple technology systems, any of which can fail:
- The strategy software itself. Bugs, crashes, or unexpected behavior may occur.
- Your trading platform (NinjaTrader). Platform crashes, updates, or connection losses interrupt the strategy.
- Your brokerage connection. Your broker's API or servers may be unavailable.
- Market data feeds. Real-time market data may be delayed, incorrect, or unavailable.
- The internet. Connectivity issues at any point in the chain can disrupt the strategy.
- Your own systems. Your computer, home network, or power supply may fail during market hours.
- AlphabotAlgo's servers. Our license validation, reporting, and dashboard services may experience downtime. Note: if our servers are unavailable, your strategy continues running — it only validates its license on startup. Dashboard data will not update until connectivity is restored.
Existing broker-side orders (stop-loss, take-profit) placed by the strategy remain active at your broker even if your platform, your computer, or our servers go offline. You should always be prepared to manage open positions manually.
06Market risk specific to futures.
Futures contracts have characteristics that distinguish them from stocks:
- Leverage. Initial margin is typically a small fraction of contract value. A 1% adverse price move on the underlying can produce a much larger loss on margin posted.
- Daily settlement. Profits and losses are settled daily. Adverse moves may trigger margin calls requiring additional deposits.
- Expiration. Futures contracts expire. The strategy manages contract rollovers, but rollover periods introduce additional risk.
- Extended hours trading. Futures trade nearly continuously, including overnight. Adverse events outside U.S. business hours can cause significant price gaps.
- Correlation. The strategy trades U.S. equity index futures (MNQ, MES, MYM). These instruments are highly correlated. Adverse moves in U.S. equities will affect all symbols simultaneously.
07Risks specific to AlphabotAlgo.
In addition to general futures and algorithmic risks, the Service has specific characteristics you should understand:
- Single strategy. The Service runs one strategy. If that strategy underperforms, every subscriber underperforms simultaneously. There is no diversification across approaches within the Service.
- Discretionary zone inputs. While trade execution is automated, the daily support and resistance “zones” that drive signal generation are reviewed and published by a human operator each morning. Errors in zone publication will affect the strategy's behavior for that session.
- Limited operating history. AlphabotAlgo LLC is a new company. The strategy has not yet operated through every type of market environment, including extended bear markets, high-volatility regimes, or liquidity crises.
- Founder dependence. The Service is operated by a small team. Strategy monitoring, zone publication, software updates, and customer support depend on key personnel.
- Regulatory risk. Trading regulations evolve. Changes in CFTC, NFA, or brokerage rules may force changes to the Service or strategy.
- Software updates. Updates to the strategy require you to download and reinstall the new version in your NinjaTrader. Running an outdated version may produce different behavior than described in current documentation.
08No investment advice.
The Service is a licensed software tool that places trades according to a pre-defined strategy. It does not:
- Consider your personal financial situation, investment goals, or risk tolerance;
- Provide personalized investment recommendations;
- Constitute a recommendation to enter, exit, or hold any specific position;
- Act as your investment adviser, financial planner, or fiduciary.
If you need personalized investment advice, consult a registered investment adviser. The Service is not a substitute.
09You remain in control.
The strategy runs in your NinjaTrader installation on your own brokerage account. You retain the ability at all times to:
- Disable the strategy directly within NinjaTrader;
- Manually override any position (modify, close, or hedge) directly through your brokerage platform or NinjaTrader;
- Disconnect from your broker;
- Withdraw funds from your brokerage account (AlphabotAlgo has no authority to do this and no access to your account);
- Cancel your subscription at any time.
You are responsible for monitoring your account and ensuring your trading platform remains running during market hours. The Service is not a substitute for ongoing attention to your trading activity.
10The 30-day money-back guarantee
AlphabotAlgo offers a 30-day money-back guarantee on your subscription fee only. This guarantee:
- Covers the subscription fee you paid to AlphabotAlgo LLC.
- Does not cover, offset, or reimburse any trading losses incurred in your brokerage account.
- Applies to first-time subscribers only.
- Must be requested within 30 days of your initial subscription date.
Trading futures involves substantial risk of loss. Any gains or losses that occur in your brokerage account are entirely yours and are unrelated to the subscription guarantee.
11Acknowledgment
By using the Service, you confirm:
- You have read and understand this Risk Disclosure Statement.
- You understand that you may lose money, including all capital allocated to the strategy.
- You understand that past performance does not predict future results.
- You are trading only with capital you can afford to lose.
- You understand that AlphabotAlgo LLC does not execute trades on your behalf, does not hold your brokerage credentials, and does not custody your funds — the strategy runs in your own NinjaTrader on your own account.
- You will monitor your account and not rely solely on the strategy to manage risk.
- You have read the Terms of Service.
If any of these statements is not true, do not use the Service.
12Hypothetical performance disclaimer
Hypothetical or simulated performance results have certain limitations. Unlike an actual performance record, simulated results do not represent actual trading. Also, since the trades have not actually been executed, the results may have under- or over-compensated for the impact, if any, of certain market factors, such as lack of liquidity. Simulated trading programs in general are also subject to the fact that they are designed with the benefit of hindsight. No representation is being made that any account will or is likely to achieve profits or losses similar to those shown.
