The agreement between you and us.

By creating an account at alphabotalgo.com (the “Service”), you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, do not use the Service.

These Terms form a binding contract between you (“you,” “user,” “Subscriber”) and AlphabotAlgo LLC, a Florida limited liability company (“we,” “us,” “AlphabotAlgo”). You must be at least 18 years old and legally able to enter into binding contracts in your jurisdiction.

01Acceptance

By creating an account, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service. These Terms form a binding contract between you and AlphabotAlgo LLC. You must be at least 18 years old and legally able to enter into binding contracts in your jurisdiction.

02What the Service is — and what it is not

AlphabotAlgo is a software licensing service. We provide you with a licensed algorithmic trading strategy that you download and run inside your own copy of NinjaTrader, connected to your own brokerage account. You retain full ownership and control of your brokerage account, your funds, and all trades placed in it.

AlphabotAlgo is not:

• A brokerage firm. We do not custody funds. We do not execute trades. Your copy of NinjaTrader and your broker do.
• An investment adviser. We do not provide personalized investment advice based on your financial situation, goals, or risk tolerance.
• A guarantor of profits. The Service may lose money. Past performance is not indicative of future results.
• A substitute for your own judgment. You remain responsible for monitoring your account, your brokerage funding, and the strategy's behavior. You may disable the strategy, close positions, or disconnect your broker at any time directly within NinjaTrader.

Important: AlphabotAlgo does not have access to your brokerage credentials and does not have authority to withdraw, transfer, or custody your funds. The strategy runs locally on your machine.

03Eligibility

You may use the Service only if all of the following are true:

• You are at least 18 years of age.
• You are a resident of the United States. The Service is not currently offered to residents of other jurisdictions.
• You are not a resident of any U.S. state whose laws prohibit the Service.
• You are not located in, or a national of, any country subject to U.S. sanctions or trade embargoes.
• You have access to a brokerage account that supports NinjaTrader connectivity and the futures contracts the strategy trades.
• You have not been previously suspended or removed from the Service.

We may verify your eligibility at signup or at any time. We may decline service, suspend, or terminate any account that does not meet these requirements.

04Account registration

To use the Service, you must create an account and provide accurate information including a valid email address and a payment method. You agree to keep this information current.

You are responsible for safeguarding your account credentials. You agree to notify us immediately of any unauthorized access. You are responsible for all activity that occurs under your account.

One account per natural person. You may not share an account, allow others to use your account, or operate multiple accounts.

05How the strategy connects to your brokerage account

The AlphabotAlgo strategy runs inside your own copy of NinjaTrader on your own computer. You connect it to your brokerage account through your broker's standard NinjaTrader connection. AlphabotAlgo LLC is not a party to that connection — it is between you, NinjaTrader, and your broker.

AlphabotAlgo does not:

• Receive, store, or transmit your brokerage login credentials;
• Have authority to withdraw funds from your account;
• Have authority to transfer funds to any third party;
• Have access to your brokerage account settings, beneficiaries, or payment methods.

You may disable the strategy or disconnect your broker at any time within NinjaTrader. Existing broker-side stop-loss and take-profit orders remain active at your broker after disconnection. You remain responsible for managing open positions.

06The trading strategy

The Service provides access to an algorithmic strategy that trades a defined set of U.S. equity index futures contracts (currently MNQ, MES, and MYM). The strategy's general approach is described in public documentation at alphabotalgo.com.

You acknowledge and agree:

• The strategy may produce losses, including total loss of capital allocated to it.
• The strategy may go through extended periods of no trades, or extended periods of losing trades.
• The strategy is subject to revision. We may modify the algorithm, the symbols it trades, or its risk parameters. Material changes will be communicated with notice as described in Section 16.
• When strategy updates are released, you must download and install the updated files in your NinjaTrader to receive the updated version. Running an outdated version may produce different behavior than described in current documentation.
• The strategy is not personalized to your financial situation. It executes the same logic for every subscriber, scaled to your configured risk parameters.
• The daily “zones” (support and resistance levels) that drive signal generation are reviewed and published by a human operator each morning. Errors in zone publication may affect strategy behavior for that session.

07Subscription, billing, and renewal

The Service is offered on a paid subscription basis. Current plan tiers and prices are listed at alphabotalgo.com/pricing.

30-day money-back guarantee.New subscribers may request a full refund of their subscription fee within 30 days of their initial subscription date. This guarantee covers the subscription fee only — it does not cover, offset, or reimburse any trading losses incurred in your brokerage account. To request a refund, contact info@alphabotalgo.com within 30 days. Applies to first-time subscribers only.

Recurring charges. Your payment method will be charged the then-current subscription fee on the first day of each billing cycle. Billing cycles are monthly or annual depending on the plan you selected.

Failed charges. If a charge fails, we will retry. After repeated failures, your subscription will be canceled and your license key will be deactivated.

Cancellation. You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing cycle. You retain access to the Service through the end of the paid period. After cancellation, your license key is deactivated and the strategy will cease to function.

Refunds outside the guarantee window. We do not issue refunds for partial billing periods outside the 30-day guarantee window.

08License

Subject to these Terms and payment of applicable fees, we grant you a limited, revocable, non-transferable, non-exclusive license to:

• Download and install the AlphabotAlgo strategy files in your own copy of NinjaTrader;
• Use the strategy for your own personal trading only.

You may not sublicense, resell, redistribute, or share the strategy files or your license key. Your license key is personal to you — anyone with your key can run the strategy against your account. Keep it private. Your license is deactivated upon cancellation or termination of your subscription.

09Modifications to pricing

We may modify subscription prices upon at least 30 days' notice via email to your registered address. If you do not wish to accept the new price, you may cancel before it takes effect. Continued use of the Service after the price change constitutes acceptance.

10Suspension and termination

Your right to terminate. You may close your account at any time through your account settings or by contacting info@alphabotalgo.com.

Our right to terminate or suspend. We may suspend or terminate your account, with or without notice, for any of the following:

• Failure to pay applicable fees;
• Material breach of these Terms;
• Conduct that we believe in good faith creates legal, regulatory, or operational risk to us or other users;
• A regulatory or law enforcement requirement;
• Discontinuation of the Service.

Effect of termination.Upon termination, your license key is deactivated, the strategy will cease to function, and your access to the dashboard ends. We will retain your account data as required by law and for audit purposes (see Privacy Policy). Open positions in your brokerage account are unaffected by termination — you remain responsible for managing them.

11Acceptable use

You agree not to:

• Use the Service for any unlawful purpose;
• Attempt to reverse engineer, decompile, or extract the algorithm or proprietary logic from the strategy files;
• Attempt to access another user's account or data;
• Use the Service to manipulate markets, spoof orders, or engage in any prohibited trading practice;
• Share your license key with any other person;
• Resell, sublicense, or commercially redistribute the Service or strategy files;
• Use automated tools (scrapers, bots) against the Service's web interface.

12Intellectual property

The Service, the algorithm, the strategy files, the user interface, the brand, the documentation, and all related materials are the property of AlphabotAlgo LLC, protected by U.S. and international intellectual property law. Your subscription grants you the limited license described in Section 8. No other rights are granted.

You retain all rights to your own data — trade history, configuration — and may export it at any time through your account.

13Disclaimers and risk acknowledgment

TRADING FUTURES INVOLVES SUBSTANTIAL RISK OF LOSS AND IS NOT SUITABLE FOR ALL INVESTORS.

The Service is provided “AS IS” and “AS AVAILABLE.” We make no warranties of any kind, express or implied, including without limitation warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, or uninterrupted operation.

Specific disclaimers:

• No profit guarantee. The Service may lose money. Past performance is not indicative of future results.
• No fiduciary relationship. We do not act as your fiduciary or investment adviser.
• Technical risk. Software fails. Internet connections drop. Broker APIs experience outages. The strategy may fail to place, modify, or cancel an intended order.
• Market risk. Futures prices can move sharply against any position. Stop-loss orders are not guaranteed to fill at the specified price in fast-moving or illiquid markets.
• Leverage risk. Futures are leveraged instruments. Losses can exceed the initial margin posted.
• Your responsibility. The strategy runs on your machine. You are responsible for keeping NinjaTrader running and connected to your broker during market hours.

You acknowledge that you have read the Risk Disclosure Statement and that you accept the risks described therein.

14Limitation of liability

To the maximum extent permitted by law:

• Cap on damages. Our total cumulative liability to you for any and all claims arising out of or relating to the Service is limited to the greater of (a) the total subscription fees you paid us in the twelve months preceding the claim, or (b) one hundred U.S. dollars ($100).
• Excluded damages. In no event will we be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to lost profits, lost trading opportunities, or market losses.
• No liability for trading losses. You specifically acknowledge that we are not liable for any losses in your brokerage account, whether resulting from strategy performance, software failure, broker outage, market movement, or any other cause.

This limitation applies even if any remedy fails of its essential purpose.

15Indemnification

You agree to indemnify, defend, and hold harmless AlphabotAlgo LLC, its officers, members, employees, and agents from any claim, liability, loss, damage, or expense (including reasonable attorneys' fees) arising out of or related to (a) your use of the Service, (b) your breach of these Terms, (c) your violation of any law or third-party right, or (d) your brokerage account activity.

16Modifications to the Terms

We may modify these Terms at any time. Material changes will be communicated by email to your registered address at least 14 days before they take effect. Non-material changes (clarifications, formatting, contact information updates) take effect upon posting.

Continued use of the Service after a change takes effect constitutes acceptance. If you do not accept a change, you may cancel before the effective date.

17Dispute resolution

Informal resolution first. If you have a dispute with us, contact info@alphabotalgo.com before initiating formal proceedings. We will make a good-faith effort to resolve it within 30 days.

Binding arbitration. Any dispute that cannot be resolved informally shall be resolved by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. The arbitration shall take place in Charlotte County, Florida, or remotely at your option.

Class action waiver. You and we agree to bring claims only in our individual capacity, not as a plaintiff or class member in any purported class or representative proceeding.

Exceptions. Either party may bring an action in small claims court for claims within its jurisdiction. Either party may seek injunctive relief in a court of competent jurisdiction for intellectual property claims.

18Governing law

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws principles. Any claim not subject to arbitration shall be brought in the state or federal courts located in Charlotte County, Florida.

19General

• Entire agreement. These Terms, together with the Privacy Policy and Risk Disclosure Statement, constitute the entire agreement between you and us regarding the Service.
• Severability. If any provision is held unenforceable, the remaining provisions remain in effect.
• No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
• Assignment. You may not assign these Terms. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
• Survival. Sections 8, 12, 13, 14, 15, 17, 18, and 19 survive termination.
